Affiliate Program Terms

1. Agreement to Terms

By applying to, being accepted into, or participating in the MIRA Player Affiliate Program (the “Program”), you (the “Affiliate,” “you,” or “creator”) agree to these Affiliate Program Terms & Conditions (these “Terms”) and to the MIRA Player End User License Agreement and Terms of Use available at /legal/, which are incorporated by reference. MIRA Player (the “Company,” “we,” or “us”) may update these Terms at any time; continued participation after changes constitutes acceptance.

2. Enrollment & Approval

Enrollment is by application only. To apply, email [email protected] with your channel or platform details. We review applications and, at our sole discretion, mint a unique referral code (e.g. YOURCODE) tied to your account. We may reject or revoke an application or code for any reason, including audience mismatch, prior program abuse, or content that conflicts with these Terms or MIRA Player's brand.

You must be at least 18 years old and able to enter a binding agreement to participate.

3. Commission & Revenue Share

You earn commission on paid, completed subscriptions to MIRA Player that are attributed to your referral code. There are two rate tiers:

• Founding Creators — 35% year 1, 15% renewals, for the life of your referrals. A “Founding Creator” is an Affiliate accepted into the Program while the Founding 500 customer window is open. Founding Creators earn 35% of every first-year payment and 15% of every renewal payment on their referrals. On the standard $20/year plan, that is $7.00 per referred subscriber in year one and $3.00/year on each renewal. Founding Creator status is permanent once granted: these rates apply to each referral for as long as that subscriber remains active, even after the founding window closes.
• Standard rate — 25% year 1, 10% renewals. Affiliates accepted after the Founding 500 customer window closes earn 25% of the subscription gross in year 1 ($5.00 per referred subscriber on the standard $20/year plan) and 10% of the renewal gross ($2.00/year recurring for as long as the subscriber remains active).

Commission accrues only on actually-collected subscription revenue. If a subscription is refunded, charged back, or reversed, the corresponding commission is reversed (clawed back) and will be deducted from your balance.

You do not earn commission on:

• Your own subscription (self-referrals are blocked at attribution).
• Subscriptions from the same household, IP, or payment method as the Affiliate, as determined by us in good faith.
• Fraudulent, bot-generated, or incentivized signups (e.g. paying users to sign up with your code).

Rates are set per-Affiliate at enrollment and are locked for active referrals made while in effect. We may change the default rate for future enrollments; existing Affiliates will be notified in advance of any change to their rate.

4. Attribution & Tracking

Attribution is by referral code. When a viewer clicks a link containing your code (e.g. miraplayer.tv/?ref=YOURCODE), the code is captured at first touch and stored on the viewer's device. When that viewer completes a paid subscription, the code on file is matched to your Affiliate account and a conversion is recorded.

We are not liable for conversions lost due to viewer device settings (e.g. private browsing, ad blockers, cleared storage), network errors, or tracking failures outside our reasonable control. The conversion data recorded in our system is the authoritative source for commission.

The last relevant referral code captured before checkout wins only in the case where no prior first-touch code exists on the device.

5. Payouts

Each commission is held only until the referred subscription clears our 14-day money-back guarantee window (which covers refunds and chargebacks), then paid out promptly — net of any clawbacks — once your balance reaches the payout minimum. We do not wait for a fixed monthly cycle.

• Payout minimum: $50.00 USD. Balances below the minimum roll over until the threshold is reached.
• Payout method: Stripe Connect Express. Approved creators connect a bank account (or eligible payout method) through Stripe in the creator dashboard at miraplayer.tv/app/creator. MIRA never collects or stores your bank details; Stripe handles identity, tax forms (e.g. 1099-NEC where required), and transfers.
• Payout currency: USD, regardless of the subscriber's currency.
• Timing: Each commission is held only until its referred subscription passes our 14-day money-back window, then paid out promptly — not on a fixed monthly cycle — once your balance is at or above the minimum and Stripe Connect is enabled on your account.

You are responsible for completing Stripe onboarding and keeping your Stripe account in good standing. We are not responsible for delays caused by incomplete Stripe requirements or bank rejections.

6. Prohibited Promotion

You agree to promote MIRA Player ethically and lawfully. The following are expressly prohibited and may result in immediate termination, commission forfeiture, and code revocation:

• Spam. Unsolicited email, SMS, DMs, forum/thread bombing, comment spam, or any bulk promotion without recipient consent.
• Brand-term bidding. Bidding on “MIRA Player,” “miraplayer.tv,” variations, or our branded keywords on Google Ads, Bing, or any paid-search or paid-social platform. You may not target our brand name or URL in ad copy or as a keyword.
• Piracy claims or content-source promises. You must not represent MIRA Player as a source of channels, movies, shows, IPTV content, or pirated media. MIRA Player is a player — users bring their own sources. Framing it as “free movies,” “free cable,” “pirated streams player,” or any implication that we provide content is strictly prohibited and grounds for removal.
• False or misleading claims. Misrepresenting pricing, features, availability, or your relationship with MIRA Player (e.g. claiming to be an employee or official spokesperson).
• Incentivized signups. Paying, rebating, or offering rewards to users in exchange for signing up with your code.
• Cloaking or deceptive redirects. Hiding or obscuring your referral code, using URL shorteners that mask the destination, or redirecting through unrelated sites without disclosure.
• Trademark/brand infringement. Using the MIRA Player name or logo in a way that implies endorsement of unrelated products, or registering domains, social handles, or ad creative that imitate or typosquat the brand.

MIRA Player is a media player. The correct framing in all promotion is BYO-source: the viewer brings their own IPTV, debrid, torrent, or Stremio add-on sources, and MIRA unifies them into one player.

7. FTC Disclosure Requirement

Under the U.S. Federal Trade Commission's endorsement guides, you must clearly and conspicuously disclose your affiliate relationship with MIRA Player anywhere you promote it and could earn a commission. A simple, upfront disclosure such as:

…placed before the link or at the top of the post/video description is sufficient. Disclosure may not be buried in a pile of hashtags, hidden behind a “more” link, or omitted because the platform is “just my personal account.” This is a legal requirement, not a courtesy, and applies on every platform (YouTube, TikTok, Instagram, X, Reddit, Discord, forums, email).

You are solely responsible for compliance with FTC rules and any equivalent disclosure laws in your jurisdiction.

8. Termination

You may stop participating at any time by ceasing promotion and notifying us at [email protected]. We may suspend or terminate your Affiliate account, revoke your referral code, and/or forfeit accrued commission at any time, with or without notice, for:

• Violation of these Terms, including the prohibited-promotion and disclosure rules above.
• Fraud, abuse, or attempted manipulation of the tracking or payout system.
• Activity that harms the MIRA Player brand, including association with illegal content, malware, or hate/harassment.
• Inactivity (no attributed conversions for 12 consecutive months) — we may convert your account to inactive and stop accruing new commission.

Upon termination for cause, any unpaid commission balance may be forfeited. Upon termination for convenience or due to inactivity, any balance above the payout minimum accrued up to the termination date will be paid promptly after the applicable 14-day money-back windows close.

Termination does not affect commission already earned and paid, nor does it relieve you of obligations (e.g. disclosure, confidentiality) that survive termination.

9. Tax Information

Commission paid to you is taxable income in your jurisdiction. For U.S.-based Affiliates, you must provide a completed Form W-9 (Request for Taxpayer Identification Number) before your first payout, and MIRA Player will issue a Form 1099-NEC where required by IRS rules (currently: $600 or more in a calendar year).

For non-U.S. Affiliates, you must provide a completed Form W-8BEN (or W-8BEN-E for entities) to establish non-U.S. status and claim any applicable treaty benefits. We may be required to withhold U.S. tax on payments to non-U.S. Affiliates who do not provide a valid W-8 form.

You are responsible for any income, sales, VAT/GST, or other taxes arising from your affiliate earnings. MIRA Player does not provide tax advice; consult a qualified tax professional.

10. Relationship of the Parties

You are an independent contractor, not an employee, agent, partner, or joint venturer of MIRA Player. Nothing in these Terms creates an employment, agency, or fiduciary relationship. You have no authority to bind MIRA Player to any obligation, and you must not represent otherwise. You are responsible for your own expenses, equipment, and business conduct.

11. Limitation of Liability

To the maximum extent permitted by applicable law, MIRA Player shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to the Program. Our total aggregate liability for any claim arising under these Terms shall not exceed the total commission we paid you during the twelve months preceding the claim.

We do not guarantee uninterrupted tracking, any specific number of conversions, or any minimum earnings. The Program is offered on an “as is” basis.

12. Modifications

We may modify these Terms, the commission rates (for future referrals), the payout schedule, or the Program itself at any time. We will notify active Affiliates of material changes by email to the address on file at least seven (7) days before they take effect. Continued promotion after the effective date constitutes acceptance of the modified Terms.

13. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-laws principles. Any dispute must be resolved in the state or federal courts located in Florida, and you consent to personal jurisdiction in those courts.
